Shell Nigeria Gas supplies natural gas to industrial and commercial customers across Nigeria. Established in 1998, the company operates about 170 kilometres of gas pipeline infrastructure across Ogun, Abia and Rivers states.

It currently serves more than 130 connected commercial and industrial customers, making it an important part of the domestic gas supply chain.

The transaction also includes Shell Nigeria Gas Holding B.V., established in 2019, which holds all but one of the shares in Shell Nigeria Gas Limited.

Shell Nigeria Gas focuses on domestic gas distribution and is not involved in upstream gas production, liquefied natural gas operations or international gas trading. <escape>Source: Punch Newspapers</escape>

Why Shell Is Selling

The sale reflects Shell’s strategy to streamline its operations and concentrate investment on businesses where it believes it has stronger competitive advantages.

In Nigeria, Shell says it will continue to focus on deepwater operations and integrated gas, including its interest in Nigeria LNG.

According to Shell’s Country Chair in Nigeria, Elohor Aiboni, the gas distribution business has served industrial and commercial customers for more than 25 years. She said the agreement could provide a stronger platform for the company’s next phase under new ownership.

The financial terms of the deal have not been disclosed.

What Vaaris Energy’s Acquisition Could Mean

For Vaaris Energy, the acquisition provides an opportunity to strengthen its presence in Nigeria’s energy market by taking over an established gas distribution business with existing infrastructure and customers.

The deal could also create opportunities for greater local participation in the gas sector. However, its wider impact will depend on Vaaris Energy’s plans for the business, future investment and how effectively it maintains and develops the existing network.

The transaction may also attract attention from industrial customers who depend on natural gas for their operations. Reliable supply and efficient distribution remain important to businesses that use gas for manufacturing and other commercial activities.

What Happens Next?

The transaction will not be completed until the required regulatory conditions and approvals are satisfied.

Until then, Shell Nigeria Gas Group will remain part of Shell and continue serving its customers and operating as usual.

Once the sale is completed, Vaaris Energy will take over the business, although the companies have not announced a completion date or disclosed further details about their transition plans.

Conclusion

Shell’s agreement to sell its Nigerian gas distribution business to Vaaris Energy marks another shift in the country’s energy industry, as a local company prepares to take over an established operation previously owned by an international energy major.

The deal creates an opportunity for Vaaris Energy to expand its role in the domestic gas market. Its long-term significance will depend on regulatory approval, investment in the network and the continued delivery of reliable gas supplies to Nigerian businesses.
